Just the box under the driver's seat, you don't need to cut it as such, just remove the rivets and, IIRC, a couple of spot welds.
You will also need to create a filler panel as the resulting hole is larger than the cover plate. http://www.yorkshireoffroadclub.net/ |

You'll need to make a plate to fill I'm around the transmission tunnel too as the one that the Td5 seatbox usually attaches to is far wider than the 200Tdi one, so there will be a gap.
